On June 30, 2025, BIOSHI S.A. finalized the acquisition of an Organised Part of the Enterprise (OPE) from Intact Balance. The transaction is part of the company’s strategy to further scale its operations in Poland and abroad by acquiring key resources that enable the handling of a growing number of orders.
The agreement represents an important step towards building a comprehensive operational base for BIOSHI S.A. The acquisition allows for the consolidation of core processes within a single organisation, which, in the long term, will enhance efficiency and scalability in the e-commerce market.
For end customers, this means faster order fulfilment, better quality control, and greater process transparency. By acquiring extensive know-how, an experienced operations team, and its own warehousing infrastructure, the company can shorten its supply chain and gain greater flexibility. This not only guarantees the continuity of existing standards but also enables their further development within BIOSHI S.A.’s structures. Business partners will benefit from a stronger and more stable distributor and service provider.
The transaction is consistent with the company’s vertical integration strategy, granting BIOSHI full control over the entire value chain – from production and warehousing to delivery to the customer. This is a key step towards building a competitive advantage based on quality and time.
Importantly, as part of the transaction, the company acquired the rights to conduct production activities, including the manufacturing of certified organic food. This enables BIOSHI not only to sell but also to independently produce organic products under its own brands. This is a significant step towards further vertical integration and increased control over product quality – supporting the company’s competitive edge while opening new growth opportunities in one of the fastest-growing market segments.
Simultaneously, the acquisition of full rights to a conventional private label and its associated sales channels enables the company to further increase margins, expand its private label portfolio, and implement marketing and technological synergies within its existing e-commerce structure.
The acquisition of a proprietary purchasing platform significantly strengthens BIOSHI S.A.’s operational capacity by enabling full digitalisation and optimisation of procurement processes. Designed as an internal B2B platform, the system allows for supplier registration and verification, management of a product database with unique identifiers, posting of procurement needs, and automatic collection of offers. This provides the company with the ability to quickly compare commercial proposals, choose the most favourable terms, and communicate instantly with suppliers – shortening order processing times and increasing purchasing transparency. Integrating the platform into the company’s operations strengthens its competitive advantage through better cost control, higher purchasing quality, and the development of a stable supplier network.
An important element of the OPE acquisition is also the continuation of cooperation with existing partners and service providers. Preserving these relationships ensures operational continuity and allows the immediate use of proven resources and know-how. As a result, BIOSHI gains access to a trusted supplier and partner network, which enhances supply chain stability, improves project execution efficiency, and reaffirms the company’s position as a reliable and predictable business partner.
